
The Board of Directors administers general management in the Company, save for those matters that are, under the Federal Companies Act, the prerogative of the General Shareholders Meeting.
The Board of Directors assures the advancement of the goals and vision of the Company as set forth in its Charter.
The principal duties of the Board of Directors are to set the Company’s development strategy so as to maximize capitalization and investment appeal, to determine the Company’s asset management policy and to implement efficient controls over the Company’s financial and business performance.

The Management Committee is a collective executive body that runs the Company on a day-to-day basis.
The Management Committee contributes to the drafting of the Company’s strategies and policies and sees to it that the same are properly implemented; it also oversees compliance with resolutions of the General Shareholders Meeting and the Board of Directors.
The main duties of the Management Committee are to ensure reliable operation of the Unified Gas Supply System (UGSS) and steady gas supply to consumers, to manage the Company’s assets so as to maximize returns, to improve internal controls and risk management, and to advocate the lawful rights and interests of the Company’s shareholders.

ALEXEI B. MILLER

Alexey Miller was born in Leningrad on January 31, 1962. In 1979 he finished secondary school and enrolled in N.A. Voznesensky Institute of Economics and Finance (IEF) in Leningrad.
After graduation Mr. Miller worked as an engineer and economist at the General Planning Studio of LenNIIproyekt, the Leningrad civil engineering research and design thinktank reporting to the Management Committee of the Leningrad City Soviet.
In 1986 he enrolled in a graduate course at IEF. He wrote his dissertation and obtained the degree of Candidate Doctor of Economics in 1989.
In 1990 Mr. Miller joined the IEF staff as a junior research assistant. The same year he was appointed to head a subsection at the Economic Reform Committee of the Management Committee of the Leningrad City Soviet.
From 1991 through 1996, Mr. Miller worked at the External Relations Committee of St. Petersburg Mayor’s Office and headed the Market Watch Department at the External Economic Relations Office. He subsequently headed that office and was also deputy to the Chairman of the External Relations Committee.
From 1996 through 1999, Mr. Miller worked as Director of Development and Investment at St. Petersburg Seaport.
From 1999 to 2000, he was General Director of Baltic Pipeline System.
In 2000 he was appointed Deputy Energy Minister of Russia. Alexey Miller has been Chairman of OAO Gazprom Management Committee since 2001. Mr. Miller has been awarded with the 4th Degree Order for the Outstanding Services to the Fatherland; Medal of the 2nd Degree Order for the Outstanding Services to the Fatherland; 2nd Class Order of the Hungarian Republic Cross for his outstanding services to the energy cooperation; St. Mesrop Mashtots Order (Republic of Armenia); Dostyk (Friendship) 2nd Degree Order (Republic of Kazakhstan); Sergiy Radonezhsky 2nd Degree Order of the Russian Orthodox Church; Patriarchal Merit Certificate.
Alexey Miller is married and has a son.
